Partner Terms
These terms ("Partner Terms") are the agreement between Tasc Fashion Ltd ("tasc") and the business that applies to partner with us through tasc-fashion.ai/business ("Partner", "you"). They apply from the date tasc approves your application. By submitting an application you confirm you have read them, and that you have authority to bind your business to them.
There are three ways to partner, and the parts that apply to you depend on what you chose when you applied: Marketplace (part B), Widget (part C) or Both (parts B and C). Parts A and D to F apply to every Partner.

Part A. Definitions and how you join
- Marketplace Programme means tasc listing and recommending the Partner's products to shoppers on the tasc services, with commission payable to tasc on resulting sales.
- Widget means tasc's embeddable recommendation module and the related software, content and dashboard, provided for a subscription.
- Products means the goods the Partner makes available for the Marketplace Programme, including product data, prices, images and availability.
- Qualifying Sale means an order for Products that is attributed to a tasc click under section B3 and is not cancelled or returned.
- tasc Studio means tasc's web portal where approved Partners manage their programme and Widget.
- Network means a third-party affiliate network, such as Awin or Rakuten Advertising, through which Products are tracked.
Applications are reviewed by tasc, which may accept or decline any application at its discretion and without giving reasons. Nothing is agreed until we confirm approval by email or in tasc Studio. You agree that the information in your application is accurate and that you will keep it up to date.
Part B1. Marketplace: Products and listing
- You grant tasc a non-exclusive, worldwide, royalty-free licence during the term to receive, store, process, display, adapt (for example by cropping, background removal and generating outfit imagery) and distribute your Product data, images, logos and brand names in the tasc services and in recommendations, for the purposes of the Marketplace Programme.
- tasc decides, in its discretion, which Products go live, how they are classified, matched into outfits and ranked, and may remove or hide any Product at any time. Listing is not a guarantee of any level of visibility or sales.
- You are responsible for the accuracy and completeness of your Product data, including price, stock, size, materials, descriptions and images, and for keeping your feed or store current. You will correct errors promptly after we tell you or you become aware of them.
- You warrant that you have all rights needed to supply the Products and the data and images, that the Products are lawful, genuine and safely made, and that listings comply with applicable law (including consumer protection, product safety, intellectual property and advertising rules).
Part B2. Marketplace: you remain the seller
tasc is not the seller of the Products. When a shopper chooses to buy, they are sent to your site or checkout, and the contract of sale is between you and the shopper. You are solely responsible for pricing, taxes, payment processing, fulfilment, delivery, returns, refunds, customer service, warranties and complaints, and for compliance with consumer law in respect of those sales.
Part B3. Marketplace: tracking and attribution
- Shopper clicks pass through a tasc tracking link, which records the click and sets a first-party attribution cookie for up to 30 days. A purchase is attributed to tasc where your store or the Network reports an order that matches a tasc click within that window.
- Direct partners (for example Shopify stores) give tasc the access needed to register an order notification so that sales can be matched. Network partners are tracked through the Network, whose click and conversion records govern.
- tasc's records of clicks and Qualifying Sales are conclusive absent obvious error. You may ask us to review a conversion by emailing us within 60 days of the order.
- You will not interfere with, remove or bypass tracking, and will not honour or report an order in a way that avoids commission.
- Orders cancelled or returned within 30 days of the order date are not Qualifying Sales. A refund issued after a commission was invoiced is credited against the next invoice.
Part B4. Marketplace: commission and payment
- Rate. You pay tasc commission on each Qualifying Sale at the standard rate shown when you applied, or at the custom rate agreed in writing. A custom rate applies only once we confirm it in writing. We may change the standard rate for new Partners at any time, and for existing Partners on 30 days' written notice.
- Basis. Commission is calculated on the order value net of VAT, delivery charges and discounts, as reported by your store or the Network, unless we agree otherwise.
- Invoicing and payment. tasc invoices approved commission on a regular cycle through tasc Studio. Invoices are payable within 7 days of the invoice date, in pounds sterling, by bank transfer or other method we agree. Network partners pay through the Network, and the Network's own terms and timetable apply.
- Tax. Amounts are exclusive of VAT, which is added where applicable. You are responsible for your own taxes.
- Late payment. tasc may charge interest on overdue amounts under the Late Payment of Commercial Debts (Interest) Act 1998, and may suspend listings until overdue amounts are paid.
- No set-off. You must pay without deduction except for amounts we agree are credited.
- Disputes. Tell us promptly of any disputed amount and pay the undisputed part. We will work in good faith to resolve it.
Part C1. Widget: licence and subscription
tasc grants you a non-exclusive, non-transferable, revocable licence during the term to embed and display the Widget on the websites you register with us, and to use tasc Studio, for your own business. You may not sublicense, resell, copy, modify or reverse engineer the Widget or use it on sites you have not registered.
| Plan | Intended for | Price (excluding VAT) |
|---|---|---|
| Starter | Up to about 500 orders a month | £49 a month |
| Growth | Up to about 2,500 orders a month | £149 a month |
| Scale | Up to about 7,500 orders a month | £349 a month |
| Enterprise | Larger stores or custom needs | Agreed with tasc |
- Every plan starts with a 14-day free trial. If you do not cancel before it ends, your first subscription period starts and you are charged.
- Subscriptions renew automatically each month. Fees are charged in advance through Shopify for stores that install the tasc Shopify app, or as invoiced by tasc for other Partners, and are non-refundable except where the law requires or we state otherwise.
- If your store regularly exceeds the order range of your plan, we may ask you to move to the next plan.
- tasc may change plans and prices on at least 30 days' notice. If you do not accept a change, you may cancel before it takes effect.
- You can cancel at any time. Cancelling takes effect at the end of the paid period, and uninstalling the Shopify app deactivates the Widget immediately.
Part C2. Widget: use, content and availability
- The Widget displays recommendations and product information that tasc compiles. Recommendations are generated automatically and may not suit every shopper; you are responsible for how you present them on your site.
- You are responsible for your website, including its privacy notice, cookie consent and lawful use of the Widget. Where the Widget runs, you will provide the notices and obtain the consents the law requires for it, and your use of tasc's Shopify app is also subject to our Merchant Data Processing Terms.
- tasc aims to keep the Widget available but does not guarantee uninterrupted service, and provides it without a service level unless agreed in writing. tasc may change, suspend or improve the Widget and will tell you in advance of changes that materially reduce its functionality.
- Support is provided by email to affiliates@tasc-fashion.ai on a reasonable-endeavours basis.
Part D. Data protection
Each party complies with data protection law. For shopper data in the Marketplace Programme, tasc and the Partner each act as independent controllers of the personal data they hold and are responsible for their own notices and lawful bases. For store data processed through the tasc Shopify app, tasc acts as the Partner's processor under our Merchant Data Processing Terms, which form part of these Partner Terms. For Partner contact details, tasc is a controller and handles them under our Privacy Notice.
Part D2. Conduct and compliance
- Each party will comply with all laws that apply to its activities, including anti-bribery, sanctions, modern slavery, consumer protection and advertising law.
- Where tasc promotes Products for commission, tasc will make clear that links are commercial in line with CMA and ASA guidance. You will not give shoppers or tasc misleading claims about the Products.
- You will not use tasc's name or marks other than as we permit, and will not suggest that tasc endorses you beyond the programme.
Part D3. Confidentiality and intellectual property
Each party keeps the other's non-public information (including commission terms, pricing and the contents of tasc Studio) confidential, uses it only for the programme, and protects it with reasonable care, except where disclosure is required by law. Each party keeps its own intellectual property. You grant tasc the licences in these Partner Terms, and tasc grants you the Widget licence in part C. Neither party acquires ownership of the other's intellectual property.
Part E. Warranties, liability and indemnity
- Each party warrants that it has the authority to enter into these Partner Terms.
- To the extent the law allows, tasc provides the Marketplace Programme and Widget "as is" and gives no promise of any volume of traffic, sales or revenue. All implied warranties and conditions not set out here are excluded.
- Nothing limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot lawfully be limited.
- Subject to that, neither party is liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or business opportunity, and each party's total liability under these Partner Terms in any 12-month period is limited to the greater of the fees and commission paid or payable between the parties in that period and £1,000. This cap does not apply to your obligation to pay commission and fees properly due, or to the indemnity below.
- You will indemnify tasc against losses, claims and costs arising from a claim that the Products, your data or your content infringe third-party rights or break the law, from the sale, delivery or quality of Products, and from your breach of part D.
Part F. Term, termination and general
- Term. These Partner Terms continue until ended by either party.
- Ending. Either party may end them for convenience on 30 days' written notice (email is enough), or immediately by written notice if the other materially breaches and, where the breach can be fixed, does not fix it within 14 days of notice, or becomes insolvent. tasc may also suspend or remove listings or access immediately to protect users, comply with law or investigate misuse.
- On ending. tasc will stop listing Products and remove them from active listings within 30 days; the Widget licence ends; commission on Qualifying Sales that arose before the end date remains payable; and sections that by their nature continue survive.
- Changes. We may update these Partner Terms on 30 days' notice. If you do not accept a change, you may end them before it takes effect.
- General. These Partner Terms, with the Merchant Data Processing Terms and any written commission agreement, are the entire agreement about the programme and replace earlier discussions. If a part is unenforceable, the rest continues. Neither party may assign without the other's consent, except that tasc may assign to a successor to its business. The parties are independent contractors; nothing creates a partnership, agency or employment. No one else may enforce these terms. We are not liable for delay or failure caused by events beyond our reasonable control.
- Governing law. These Partner Terms and any dispute arising from them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
